ASIC Power Supply Unit Upgrade Service Agreement Terms & Conditions

Article 1. Service Overview 

  1. This Agreement applies to the service that McDaniel Innovations LLC (hereinafter referred to as “Manifold Mining”) provides to customize an ASIC Power Supply Unit (hereinafter referred to as “ASIC PSU” or “requested item”) by adding and replacing internal components to increase the maximum power output of the requested item (hereinafter referred to as “Service”). 

  2. Manifold Mining provides the Service in accordance with this Agreement, and customers apply for the Service after they have consented to this Agreement. 

 

Article 2. Service Coverage 

  1. This Service covers only specific requested item models at the discretion of Manifold Mining.

  2. If a customer’s requested item is damaged or inoperable when the customer applies for this Service (hereinafter referred to as “requested item”), Manifold Mining may not be able to provide the Service as performance of the requested item after it is upgraded under this Service is unable to be guaranteed. Manifold Mining will conduct a function check when an application is presented for this Service to determine whether or not there is any damage to the requested item. If the damage is able to be repaired by Manifold Mining, then Manifold Mining may provide this Service after the repairs have been made. 

 

Article 3. Service Fees 

  1. To provide this Service, Manifold Mining will charge a service fee as set by Manifold Mining regardless of whether or not any repairs are required and whether or not the requested item is covered under warranty. 

  2. If the requested item is damaged and Manifold Mining determines that repairs are required, Manifold Mining may charge a separate repair fee as set by Manifold Mining pursuant to the provisions of the warranty that accompanied the requested item. 

  3. Service fees must be paid in full prior to Manifold Mining returning the ASIC Miner or requested item to the customer. 

  4. Customers should pay for Service fees in US dollars within three (3) calendar days after we have provided an invoice. We will only deliver the requested item after receiving your payment. We reserve the right to change the method of payment and you should refer to the payment instruction indicated on this website.

  5. If you fail to pay the applicable service fees within thirty-five (35) calendar days after we have provided the fee estimate, we will charge you an additional storage fee commencing the 36th calendar day after we have provided the fee estimate at a rate of USD [$1.5] per day. If you fail to pay the applicable service fees within ninety-five (95) calendar days after we have provided the fee estimate, we will notify you that it considers your requested item to be abandoned, we may dispose of your requested item in accordance with applicable provisions of law, and, specifically, may sell your requested item at a private or public sale to pay for any outstanding Services performed. We reserve our statutory and any other lawful liens for unpaid charges. 

6.     If any requested item is stored at our service location, including due to your failure to create Repair Ticket or any inconsistency between Repair Ticket and the transportation, we will collect storage fees commencing the [36th] day after receiving the requested item.  If you fail to pay the applicable service fees within ninety-five (95) calendar days after we have provided the fee estimate, we will notify you that it considers your requested item to be abandoned, we may dispose of your requested item in accordance with applicable provisions of law, and, specifically, may sell your requested item at a private or public sale to pay for any outstanding Services performed. We reserve our statutory and any other lawful liens for unpaid charges.

 

Article 4. Service Warranty 

  1. If within fourteen (14) days after a requested item that has been upgraded under this Service is received by the customer, a malfunction occurs on a component provided under this Service and Manifold Mining determines that repair of the component is required, the repair will be provided free of charge.

  2. Notwithstanding the provision of the preceding paragraph, a service fee will be charged for repairs in cases where the Manifold Mining-applied warranty sticker applied to the requested item has been removed or damaged or where the cause of the malfunction corresponds to any of the following. 

    1. Malfunction or damage due to misuse (operating errors, etc. other than those listed in the Operating Manual) 

    2. Malfunction or damage due to repair, modification or disassembly performed by an entity other than a Manifold Mining-designated service provider

    3. Malfunction or damage due to fire, natural disaster, earthquake, use of non-specified power source (voltage, frequency), pollution or other such causes 

    4. Malfunction due to deficient storage conditions (storage in location where there is high temperature or high humidity, a location where there is insecticide or other harmful chemicals, etc.), deficient maintenance (sand, dust, liquid fog, battery leakage, etc. inside the ASIC shell)

    5. Malfunction or damage due to falling, impact, pressure, vibration, submersion, sand, etc.

    6. Replacement of depleted or worn component, or replacement of soiled component 

    7. Manifold Ming-applied warranty sticker is damaged, or the warranty sticker identifier does not match Manifold Mining’s records.

    8. Running the upgraded requested item above the Manifold Mining recommended PSU power output settings.

  3. This Service is provided on the condition that customers apply for the Service understood the specifications of an upgraded product. This Service does not include any sort of work to return the requested item once it has been upgraded to pre-upgrade product specifications. Also, in no case whatsoever is Manifold Mining obligated to a customer to perform such work. 

 

Article 5. Consignment Method 

This Service is provided only when a customer completes the online form or sends the requested item to be upgraded to the Manifold Mining service center. Upgrade requests are only accepted online at https://www.manifoldservice.com/.

 

Article 6. Number of Days of Consignment 

After Manifold Mining has received the requested item, it will take approximately three (3) business days until Manifold Mining completes processing the order and invoices the customer. However, in the following cases, Manifold Mining asks customers to understand that extra time may be needed. 

(1) Cases where the requested item is damaged and repair is required. 

 

Article 7. Substitute Device 

The provision of a substitute device or loaned equipment during the time that a customer has consigned the requested item with Manifold Mining is not included in this Service, and Manifold Mining assumes no obligation to the customer to provide such devices. 

 

Article 8. Handling of Retrieved Components 

Manifold Mining will collect any components retrieved from the requested item in the course of providing this Service. Any retrieved components are the property of Manifold Mining which may scrap or otherwise dispose of such components at its discretion. 

 

Article 9. Handling of Personal Information 

  1. Manifold Mining may use customer-specific information (hereinafter referred to as “personal information”) that may allow the identification or specification of a customer including a customer’s address, name, telephone number or other information that a customer provides by telephone or other means of communication for the purpose of providing this Service. 

  2. Manifold Mining may disclose any personal information provided by a customer to Manifold Mining companies, Manifold Mining-designated service companies, couriers and other business partners. 

  3. Personal information that a customer provides may be furnished in cases where a request for such disclosure has been presented in accordance with laws or regulations. 

  4. When Manifold Mining determines that it is no longer necessary to continue to maintain a customer’s personal information as the objectives for such use have been achieved, Manifold Mining may delete the customer’s personal information.
